These are the five states we form in and what each one charges: the fee to form, the annual fee to maintain the company, and the date it falls due. All five rows were checked on September 7, 2026 against each state's official source, linked at the foot.

The table compares; it does not rank from best to worst. Each column weighs differently depending on the case, and that weighing is not this page's job.

How to read the due dates

The five states fit into three ways of falling due. New Mexico has no state renewal: there is no annual report to file and no date to watch. Michigan, Florida and Delaware use a fixed calendar date — February 15, May 1 and June 1, every year, whenever the company was formed. Wyoming is the different one: its annual report falls due on the first day of the month the company was formed in, not on the exact anniversary day.

Two details the official sites publish that are easy to misread: Florida's report can be filed from January 1, but what falls due is May 1; and Wyoming's figure is a minimum — $60, or 0.02% of the assets the company holds in Wyoming, whichever is greater.

What does not change from state to state

Everything federal is identical in all five, because it does not depend on the state. And one state-level piece does not discriminate either: a Registered Agent is required in all five, all year round.

  • The EIN is requested the same way from any of the five: it is an IRS procedure, not a state one.
  • A single-member LLC with a foreign owner files its Form 5472 with the pro forma 1120 whatever the state.
