How it works

Four steps, and only the first one is yours

You tell us who you are and what you do

One form: company name, your passport, your real physical address and the activity. Nothing else, and nothing that will not be needed later.

We file the Articles of Organization

We file the formation in the state you chose and appoint the Registered Agent. You get the stamped certificate back.

We get the EIN and build the bank file

Form SS-4 with no SSN or ITIN, the CP 575 letter, the Operating Agreement and the folder Mercury or Relay asks for, with your utility bill.

We keep the calendar

Every year we file your Form 5472 with the pro-forma 1120 before April 15, and we flag the state renewal before it falls due.

The only thing that changes between the three is what the state charges and when. Everything else is identical in all three.

The fees are public and we reproduce them as published. Which state suits you depends on your tax situation and on where you live, and that assessment is made by a licensed US CPA. We form in whichever one you choose.

Bank-Ready

The file Mercury and Relay expect to see

An LLC with a US legal domicile and a mail-forwarding address as its operating address is turned down in automated review. The file we prepare keeps the two apart.

What the folder holds

  • US legal domicile

    The Registered Agent address in the state, which is the one on the public record.

  • Your real physical address

    The one in your country, where you actually live. The bank uses it as the owner's address, which is why it cannot be a mailbox.

  • A utility bill in your name

    Power, water or internet from the last three months. It is the document that proves the address above.

  • EIN + CP 575

    The federal tax number and the original IRS letter that confirms it.

  • Valid passport

    The owner's. Some institutions also ask for a second photo ID.

We cannot guarantee a bank's decision: it is a KYC decision by Mercury or Relay. What we do guarantee is the file, and that if you are turned down we review it and run the process again with the alternative institution at no extra cost.

The amounts include the fee the state charges. There is no surcharge for filing it.

It falls due in all three states, and it is the one that surprises people most in New Mexico: there is no annual report there and no state maintenance fee, so it is easy to assume there is nothing to pay.
