Not a law firm, not a CPA firm

3XA ECOM LLC is not a law firm and it is not an accounting firm. No admitted attorneys and no licensed CPAs render professional services through KodiakBase, and nothing on this site should be read as though they did.

What we do is file: prepare standard forms from the information you provide and submit them to the state and to the IRS, in your name and on your instructions. That is a document-handling service, not a regulated professional one.

No content on this site — the home page, the FAQ, the compliance calendar, the reminder emails or any material we hand you — is legal or tax advice, and none of it substitutes for advice from a licensed professional.

It is general information, written for a generic case. Yours has circumstances this site knows nothing about: where you live, where you are taxed, which treaty applies to you, what activity you will carry on and with whom.

Using this site or contracting the service creates no attorney–client relationship and no tax advisory relationship, and no communication with us is covered by professional privilege.

Standard, self-service documents

The Operating Agreement and the other corporate documents we deliver are standard templates, not tailored to your case. They cover the usual situation of a single-member company and are no substitute for a document drafted for you.

Read them before signing. If your structure has several members, uneven contributions, investors or an exit arrangement, the template falls short and that is where a professional is needed.

What to ask a professional

Some questions call for professional judgement and, by definition, we do not answer them. Among others:

• Which state suits you. We publish the figures for all three — formation fee, annual fee and timings — and the decision is yours.
• Whether your activity generates Effectively Connected Income, whether a double-taxation treaty applies to you, or how much you will end up paying.
• How what you do through the company is taxed in your country of residence.
• Whether your particular structure needs something other than a single-member LLC.

Who to ask

A CPA or an attorney licensed in the United States for the US side, and a tax adviser in your country of residence for yours. Ask us and we will tell you what kind of professional to look for; what we will not do is stand in for one.

How current this information is

The figures and requirements we publish — fees, timings, deadlines — are reviewed and carry their date, but they change at the decision of third parties and can go stale between one review and the next.

A real example: FinCEN permanently removed the BOIR report in August 2026, and everything this site said about that filing stopped being true overnight. Check the official source for any figure a decision of yours depends on.

Intellectual property

The KodiakBase name, the logo, the bear and the overall design of this site belong to 3XA ECOM LLC or are used under licence. The texts and materials we hand you are for your own use: they may not be resold or redistributed.
