Florida registers LLCs through its Division of Corporations, whose filing site is Sunbiz. The company comes into existence when the state accepts the Articles of Organization.

Its yearly maintenance is the Annual Report, with a due date fixed for every LLC and a four-month filing window that opens every January 1.

What it costs to form and maintain

The state charges $125 to form: 100 USD to file plus 25 USD for the Registered Agent designation, which is billed separately there and is mandatory. The Annual Report costs $138.75 a year.

When the Annual Report falls due

The Annual Report is due on May 1 every year, the same date for every LLC in the state, and it can be filed from January 1: a four-month window.

On top of that state date comes the federal one, identical in all five states: the annual information return (Form 5472 with its pro forma Form 1120) is due on April 15.
