The LLC in New Mexico
New Mexico registers LLCs through its Secretary of State, and filing is online only, through its business portal. The company comes into existence when the state accepts the Articles of Organization.
It is the only one of the five states we form in that requires no annual report from LLCs: once registered, the state asks for no recurring filing and charges no maintenance fee.
What it costs to form and maintain
The state charges $50 to file the Articles of Organization, once. There is no annual state fee.
With KodiakBase, the first year costs $349 with the state fees included, and the annual renewal $199: it covers the Registered Agent and the services that repeat every year.
| Item | Amount |
|---|---|
| State formation fee | $50 |

When the renewal falls due
In New Mexico there is no state renewal: there is no annual report to file and no state date to watch. The annual renewal is the Registered Agent alone, which the law requires you to keep all year.
What does follow a calendar is the federal side: the annual information return of a single-member LLC with a foreign owner (Form 5472, attached to a pro forma Form 1120) is due on April 15.

Frequently asked questions
Does a New Mexico LLC file an annual report?
No. New Mexico requires no annual report and no maintenance fee from LLCs. The filing that does not go away is federal: Form 5472 with its pro forma Form 1120, due on April 15.
What do you pay each year to keep it alive?
To the state, nothing. With KodiakBase, the annual renewal costs $199 and includes the Registered Agent and the rest of the recurring services, the federal filing among them.
Can someone who does not live in the United States form one?
Yes. New Mexico accepts foreign members and does not require citizenship or residence. Identification is requested later by the IRS, to issue the EIN, and by the bank you choose, each with its own process and its own criteria.
This page informs: it collects fees and deadlines published by the state and by the IRS, with their sources at the foot, and it is not tax or legal advice. Which state fits your case is assessed by a licensed US CPA for the US side and by a licensed tax adviser in your country of residence for yours.
