The LLC in Wyoming
Wyoming registers LLCs through its Secretary of State. The company comes into existence when the state accepts the Articles of Organization.
Its yearly maintenance is a report with a license tax that depends on the assets located in Wyoming: an LLC with no assets in the state pays the published minimum. The due date is not a fixed calendar date but the anniversary month of formation.
What it costs to form and maintain
The state charges $100 to file the Articles of Organization, once. The annual report carries a license tax with a 60 USD minimum — it grows with the assets located in Wyoming — and, filed online, comes to $62 for an LLC with no assets in the state.
With KodiakBase, the first year costs $399 with the state fees included, and the annual renewal $261: it covers the Registered Agent, the filing of the annual report with its minimum tax, and the rest of the services that repeat every year.
| Item | Amount |

The KodiakBase amounts marked as pending approval cannot be ordered yet: the configurator shows them without a total and sign-up will not take them until the price is approved. The state fees are public and do not depend on us.
When the annual report falls due
The annual report is due on the first day of the anniversary month of formation: an LLC registered on March 20 files it every year on March 1, not on the 20th and not on a date fixed for the whole state.
On top of that state date comes the federal one, identical in all five states: the annual information return (Form 5472 with its pro forma Form 1120) is due on April 15.
