Michigan registers LLCs through LARA, its Department of Licensing and Regulatory Affairs. The company comes into existence when LARA accepts the Articles of Organization, filed on form CSCL/CD-700.

Its formation fee is the same as New Mexico's; the difference is the maintenance: Michigan requires every LLC to file an Annual Statement, on a fixed calendar date that is the same for all of them.

The state charges $50 to file the Articles of Organization, once, and $25 a year for the Annual Statement.

When the Annual Statement falls due

The Annual Statement is due on February 15 every year, the same date for every LLC in the state: it does not depend on the month the company was formed.

On top of that state date comes the federal one, identical in all five states: the annual information return (Form 5472 with its pro forma Form 1120) is due on April 15.
