It is not paperwork, it is access. A US company seats you at the same table as the competitors already there, with the same papers they have.

Applying for a dollar bank account

Mercury and Relay take applications from US companies without asking you to fly over or live there: you apply online, with the whole file. They approve the account after their own verification; what is in our hands is that nothing is missing from the folder.

Opening an account or getting into a gateway are decisions those institutions make, under their KYC and their own risk criteria: we prepare the application and stay with you if they ask for more, but we do not guarantee them and we cannot appeal a refusal on your behalf. And how far the separation of assets reaches in your particular case depends on your situation and your country: that is assessed by a licensed US CPA and an adviser in your country of residence, not by us.

How it works

Four steps, and only the first one is yours

You tell us who you are and what you do

One form: company name, your passport, your real physical address and the activity. Nothing else, and nothing that will not be needed later.

We file the Articles of Organization

We file the formation in the state you chose and appoint the Registered Agent. You get the stamped certificate back.

We get the EIN and build the bank file

Form SS-4 with no SSN or ITIN, the CP 575 letter, the Operating Agreement and the folder Mercury or Relay asks for, with your utility bill. Opening the account is the bank's decision; ours is to put the complete file in your hands.

We keep the calendar

Every year we file your Form 5472 with the pro-forma 1120 before April 15, and we flag the state renewal before it falls due.

The only thing that changes between the five is what the state charges and when. Everything else is identical in all five.

The fees are public and we reproduce them as published. Which state suits you depends on your tax situation and on where you live, and that assessment is made by a licensed US CPA. We form in whichever one you choose.

Bank-Ready

The file you apply for the account with

Mercury publishes that it takes neither PO boxes nor virtual addresses, and that a Registered Agent address does not stand for the place you operate from. So the file keeps the two addresses apart: the company's legal home over there, and your real one where you are.

What the folder holds

  • US legal domicile

    The Registered Agent address in the state, which is the one on the public record.

  • Your real physical address

    The one in your country, where you actually live and work, and the one the bank asks for as the place you operate from. The business address inside the fee is a managed mailbox: it receives and scans your mail, but it does not fill this slot.

  • A utility bill in your name

    Power, water or internet from the last three months. It is the document that proves the address above.

  • EIN + CP 575

    The federal tax number and the original IRS letter that confirms it.

  • Valid passport

    The owner's. Some institutions also ask for a second photo ID.

We cannot guarantee a bank's decision: approval is theirs and it comes after their own verification. What we do guarantee is our own part — handing you the complete file you apply with, staying with you if the institution asks for more and, if you are turned down, reviewing it and running the process again with the alternative institution at no extra cost.

Where you are taxed

An LLC does not change where you pay tax

Forming an LLC does not, on its own, end your tax obligations in the country where you live or run the business. Tax depends on your residence, your activity and your structure, and none of the three is settled by the state the company is formed in.

    Your own country sets it by its own rules — where you live, where the centre of your activity sits, how many days you spend there — and forming a company in the United States touches none of them.

  • The US side is ours to carry

    Formation, the Registered Agent, the EIN and the information returns the company files every year. That is what you are buying and that is what we answer for.

  • Your side is for a licensed professional

    How what you do through the company is taxed at home, and whether a treaty applies to you, is assessed by a licensed tax adviser in your country of residence, alongside a licensed US CPA for the US side. If you have neither, we will tell you what kind of professional to look for.

Who provides the service

KodiakBase is the trading name of 3XA ECOM LLC, a Limited Liability Company formed in the State of Florida, with its address at 407 Lincoln Rd STE 708, Miami Beach, FL 33139, United States. It is the same company that signs the terms you accept and the one identified in the legal notice.

What it does is file: prepare the standard forms from the information you provide and submit them to the state and to the IRS, in your name. What calls for professional judgement — which state suits you, whether your activity generates Effectively Connected Income, how much you will end up paying — is signed off by a licensed CPA, not by us.

And here is what we do promise on our side: nobody is left alone with a dashboard and a pile of links. A person carries each file, and when something is waiting on the state or the IRS we tell you, with its date, instead of leaving you guessing.
