Who sells, what the platform takes per sale, and what stays on the creator's side.

Who is who

These terms govern the use of the KodiakBase monetization platform: the tools a creator uses to sell subscriptions and content to their community. It is operated by 3XA ECOM LLC, with its address at 407 Lincoln Rd STE 708, Miami Beach, FL 33139, United States. If what you are looking for is the company-formation service, that is a different contract: the terms of service, in this same legal section.

KodiakBase is a technology platform here, not a merchant. The seller is the creator: the subscription a member buys is a contract between that member and the creator, the charge lands in the creator's Stripe account, and the one who answers for that sale — its content, its taxes, its refunds — is the creator. KodiakBase is not a party to that sale.

By signing up as a creator you accept these terms and the content policy. If something here does not sit right with you, write to hola@kodiakbase.com before signing up rather than after.

What the platform does

Tools to sell access to a community or to content, and to keep that access in step with what was paid:

  • Offers: a public sales page for each subscription, with its price and description, edited from your dashboard.
  • Checkout: payment is processed with Stripe and the charge is made on your own Stripe account, not on one belonging to KodiakBase.
  • Access: the platform handles the invitation to the Telegram channel tied to the offer when someone pays, and the removal from that channel when the subscription is cancelled or stops being paid.
  • The dashboard: your offers, your members, and their joins and departures, in one place.

What the platform does not do

Written as plainly as the list above, because this is the half that prevents arguments:

  • It does not hold your sales money. Each charge goes from Stripe to your Stripe account; KodiakBase takes its commission inside that same charge and does not touch the rest.
  • It does not guarantee the approval or the continuity of a Stripe account. Those decisions are Stripe's and follow Stripe's verification; our part is to set the connection up properly.
  • It does not guarantee results for any content: not sales, not subscribers, not the accuracy of what is published. The platform is the tool; what it produces is down to the content and its audience.
  • It does not review your content before it is published, and does not make it its own. What you publish, and the rights to it, are yours.
  • Telegram is a Telegram service: its rules, its limits and its availability are not decided by KodiakBase.

The commission

For each sale, the platform takes a 10% commission on the amount. It is applied as a platform commission (application fee) inside the Stripe charge itself: the buyer pays once, Stripe splits the commission out in that same movement, and the rest stays in your account. There is no fixed monthly fee: if you do not sell, the platform does not charge.

Stripe's fees are separate: the processing of each charge is billed by Stripe at Stripe's rates, and it is yours to bear because the charge is yours and the account is yours. The detail of every movement is in your Stripe account.

The 10% is the rate in force when these terms were published. If it changes, it changes on this page and is announced as the changes section says, before applying to new sales.

Your Stripe account

To get paid you need a Stripe account connected to the platform. You open it in your own name during creator sign-up, and in that process you accept Stripe's terms for connected accounts — the Stripe Connected Account Agreement — which is a contract between Stripe and you and can be read on Stripe's website.

The verification of your identity, the approval of the account and the decisions Stripe later makes about it are Stripe's. KodiakBase cannot promise an outcome it does not decide, and so it does not promise it.

Refunds and disputes on your sales are handled in your Stripe account and are yours, as is the duty to deal with the buyer raising them.

What stays on your side

Selling through the platform does not move these obligations anywhere. They remain yours:

  • The content: what you publish and sell, its legality, and the rights to it.
  • The taxes on your sales: the VAT or other tax that applies to them, its filing and its payment, according to the country you sell from and your situation. KodiakBase does not calculate them, does not withhold them and does not advise on them.
  • Refunds and disputes: the decision to refund and the dealings with your buyer.
  • Your sign-up details: accurate and up to date, because Stripe's verification rests on them.
  • The content policy, which you accept at sign-up and which applies to all your offers.

The content policy and suspension

What can be sold with the platform and what cannot is in the content policy, a separate document in this same legal section that you accept at sign-up.

If an offer breaks that policy, it is unpublished: it is no longer on sale and takes no new buyers. If the breach is at the level of the account, the account is suspended and its offers with it. It is a mechanism of the tool: it applies to what breaks the policy, it is communicated by email with the reason, and it has the way back the policy itself describes.

A platform suspension does not touch what was already collected: those charges are in your Stripe account and remain yours. What Stripe decides about your Stripe account is a matter between Stripe and you.

Limitation of liability

We answer for our own work: operating the platform with diligence and making the access mechanics do what this page says they do. If a failure of ours removes an access that should have been active, we restore it as soon as it is detected.

We do not answer for creators' content or for the sales between creator and buyer; nor for the decisions of Stripe or Telegram, nor for indirect damages, loss of profit or loss of opportunity.

Save for wilful misconduct or gross negligence, our total liability is limited to the platform commissions KodiakBase has charged you in the twelve months before the event giving rise to it. Nothing in this clause excludes liability that applicable law does not permit to be excluded.

Governing law and jurisdiction

These terms are governed by the laws of the State of Florida, United States, where 3XA ECOM LLC is formed, and the courts of Miami-Dade County have jurisdiction over any dispute.

With one carve-out we are not going to pretend away: if you use the platform as a consumer and live in the European Union, that choice does not deprive you of the protection of the mandatory rules of your country of residence, and you may bring proceedings before the courts of your domicile.

Changes to these terms

We may amend these terms for the future. Changes are published on this same page and the date in the heading is updated with them.

If a change affects something material — the commission included — we tell you by email at least thirty days before it applies, and you can close your offers and leave the platform at no cost before it takes effect. What was already sold does not change conditions mid-period.
